These terms govern your use of our services. Please read them carefully before engaging with TruLight Studio.
These terms form a binding agreement. Project-specific terms in your proposal or statement of work take precedence over these general terms where applicable.
By accessing our website or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any changes.
TruLight Studio provides web development, mobile app development, AI solutions, UX design, and consulting services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate proposal or statement of work agreed upon by both parties.
You are responsible for providing all necessary content, images, logos, and materials required for your project in a timely manner. Delays in providing materials may impact project timelines.
You agree to provide timely feedback and approvals at designated project milestones. Each project includes a specified number of revision rounds as outlined in your proposal.
You are responsible for ensuring that all information and content you provide is accurate, legal, and does not infringe on any third-party rights.
Payment terms are specified in your project proposal. Typically, we require a deposit to begin work, with remaining payments due at agreed milestones. All payments are non-refundable once work has commenced.
Maintenance subscriptions are billed monthly in advance. You may cancel your subscription with 30 days written notice. No refunds are provided for partial months.
Invoices are due within 14 days unless otherwise specified. Late payments may result in project delays and may incur a late fee of 1.5% per month on outstanding balances.
Upon full payment, you will own all custom code, designs, and content created specifically for your project. This excludes any pre-existing materials, third-party assets, or open-source components used in the project.
We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing. We will not share confidential business information.
Any third-party assets (stock photos, fonts, plugins, etc.) are subject to their respective license terms. We will inform you of any licensing requirements or costs.
We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee specific results, rankings, or business outcomes. Websites and applications are provided "as is" after the warranty period specified in your proposal.
To the maximum extent permitted by law, TruLight Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by you for the services in question.
Either party may terminate a project with 14 days written notice. Upon termination, you will be invoiced for all work completed to date. We will provide all completed deliverables and source files upon receipt of final payment.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical specifications, and any information marked as confidential. This obligation survives the termination of our agreement.
These terms shall be governed by and construed in accordance with the laws of the State of Washington, United States. Any disputes arising from these terms or our services shall be resolved in the courts of King County, Washington.
By requesting a quote or engaging our services, you acknowledge that you have read and agree to these terms of service.
